These Terms of Service ("Terms") govern your access to and use of the services, applications, websites, and content provided by Dizzy Media, LLC ("Dizzy," "we," "us," or "our"). By using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not access or use the service.

1. Description of Services
Dizzy provides a platform that delivers geo-targeted audio content and advertisements through a mobile application used by rideshare drivers. The service also allows advertisers to reach targeted passengers via audio content during rideshare trips. Our services include:

Mobile applications for drivers and advertisers

Access to curated and targeted audio content

Location-based ad delivery

Driver payment and account management

Campaign creation and analytics for advertisers

SMS-based account authentication

2. Eligibility
You must be at least 18 years old to use the Dizzy platform. By using our services, you represent and warrant that you are of legal age and have the authority to enter into these Terms.

3. User Accounts
To access certain features, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

Provide truthful and up-to-date registration information

Keep your login information secure

Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts suspected of unauthorized activity or violation of these Terms.

4. Driver Earnings and Use of the App
Dizzy enables drivers to earn passive income by allowing audio content and advertisements to play during rideshare trips.

Drivers agree to:

Use the app in accordance with all applicable traffic and rideshare regulations

Not manipulate location data, trip time, or rider presence

Allow the app to access GPS and audio functions to enable content playback

Ensure that their vehicle’s audio system is operational and able to play Dizzy content

Earnings are based on verified ad impressions, trip duration, and other activity tracked in the app. Dizzy reserves the right to adjust payment formulas at any time and will provide notice of any material changes.

5. Advertiser Campaigns
Advertisers may use Dizzy to create and launch audio ad campaigns targeted by location, time, and rider demographics.

Advertisers agree to:

Provide truthful, lawful, and non-deceptive advertising content

Not submit content that is defamatory, discriminatory, sexually explicit, or violent

Ensure they have all rights necessary to distribute the submitted content

Dizzy reserves the right to review, reject, or remove any campaign at its sole discretion.

All ad performance data is estimated based on tracked engagement and cannot be guaranteed.

6. Use Restrictions
You may not:

Use the platform for unlawful purposes

Attempt to hack, reverse-engineer, or interfere with the service

Misrepresent yourself, your identity, or your affiliation

Circumvent location tracking or data reporting mechanisms

Upload malicious content or software

Violation of these rules may result in suspension or permanent removal from the platform.

7. Location Services
Our services rely on access to your device’s precise location to function properly. You must enable location services to:

Deliver relevant audio content and ads

Track ride routes and impression data

Calculate driver earnings

Disabling location permissions may render the app unusable or prevent income tracking.

8. SMS Messaging & Notifications
Dizzy uses SMS messages to verify accounts, send authentication codes, and deliver service-related notifications. By providing your mobile number, you consent to receive these messages. Message frequency varies and standard carrier rates may apply.

You may opt out of marketing messages (if applicable) but cannot opt out of essential service communications (e.g., login verification).

9. Intellectual Property
All Dizzy content, trademarks, logos, and software are the exclusive property of Dizzy Media, LLC or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the platform without prior written consent.

You retain ownership of any content you submit (ads, profile info, etc.) but grant Dizzy a worldwide, royalty-free license to use, display, and distribute that content as part of the service.

10. Data & Privacy
Your use of Dizzy is also governed by our Privacy Policy, which explains how we collect, store, and use your data — including geolocation, audio engagement, and personal identification data.

By using the service, you agree to the collection and use of your data as outlined in the Privacy Policy.

11. Payments & Payouts
Driver payouts are processed weekly, based on verified trip and impression data. Dizzy may use third-party processors to issue payments.

Advertisers will be billed based on campaign activity, impression volume, and any applicable subscription or management fees.

We reserve the right to withhold or delay payment in cases of suspected fraud, manipulation, or system abuse.

12. Termination
We reserve the right to terminate or suspend your account or access to the platform at any time for any of the following reasons:

Violation of these Terms

Fraudulent activity or data manipulation

Non-payment (advertisers)

Legal or regulatory requirements

You may terminate your account at any time by contacting us directly.

13. Disclaimers
The Dizzy service is provided "as is" and "as available" without warranties of any kind. We do not guarantee:

Continuous or error-free operation

Specific earning results for drivers

Specific reach or ROI for advertisers

We disclaim any liability for loss of earnings, inaccurate impression tracking, or data outages.

14. Limitation of Liability
To the fullest extent permitted by law, Dizzy shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

Your use or inability to use the service

Unauthorized access to or alteration of your data

Third-party content or actions

Our total liability shall not exceed the amount you have paid to Dizzy in the prior six months.

15. Indemnification
You agree to defend, indemnify, and hold harmless Dizzy Media, LLC from any claims, damages, liabilities, or expenses arising out of:

Your use of the service

Your content or campaigns

Your violation of these Terms

16. Governing Law
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles. Any legal action must be brought in a court located in Rockingham County, NH.

17. Changes to These Terms
We may update these Terms at any time. We will provide notice of material changes via the app or website. Continued use after changes means you accept the updated Terms.
